BVI Limited Company

The British Virgin Islands Limited Company Breakdown

AWhat You're Actually Getting

This page is the buying-focused version — see our BVI Overview [25] on the helpdesk for the same fundamentals in FAQ form.

  • A common-law jurisdiction, well known and trusted by investors — English legal heritage, a judiciary that leans on UK and Privy Council precedent [1].
  • No minimum paid-up capital, no requirement that a director or shareholder ever set foot on Tortola, and corporate directors are permitted — which is why a BVI Business Company shows up so often as the neutral holding layer between a founder and everything else they own [2].
  • No income tax, corporation tax, capital gains tax or inheritance tax on profits earned outside the territory [3].
  • Two narrow exceptions almost nobody triggers: a payroll tax, only if you actually employ someone physically in the BVI [5]; and a small property tax, only if the company owns BVI real estate [4]. Neither applies to a standard holding or trading structure run from anywhere else in the world.

Section B

Who actually incorporates here

One simple structure, four reasons founders keep reaching for it. Every entity we register here fits one of these patterns [13][24].

Holding
The asset umbrella

Crypto, equity in other companies, IP, real-world assets — held one layer removed from the founder, with no tax drag on unrealised gains [13].

Trading
Prop trading & SPVs

A clean, single-purpose vehicle for a trading desk or a one-off deal, without dragging the rest of a group's activity into the same tax jurisdiction [13].

Funds
A five-rung ladder

Incubator → Approved → Professional / Private → Public. You can launch light and graduate as assets grow, instead of over-building on day one [17].

Token issuance
Single-issuance projects

A one-off token launch generally doesn't require a VASP licence. Ongoing exchange, custody or market-making activity does [13].

CThe mechanics

What the statute actually requires, stripped of sales language — and exactly which parts Otonomos takes off your plate.

What the law saysOtonomos handles this for you
Minimum directors1 — corporate directors permitted, no nationality or residency restriction [1]✓ Yes — we appoint a nominee director if you don't want to use your own name
Minimum shareholders / UBOs1 — can be the same natural or corporate person as the director [1]✓ Yes — a nominee shareholder arrangement is available if privacy is the priority
Registered agent & officeMandatory, at all times, must be BVI-licensed. You cannot file directly with the Registry [2]✓ Included — this is part of every Otonomos BVI order
Minimum paid-up capitalNone—
Standard authorised capital50,000 shares — raise the ceiling and the annual government fee rises with it [14][28]We advise on the right number for your structure
Bearer sharesAbolished—
Register of directorsFiled and publicly searchable — unless you appoint a nominee director [18]✓ Yes — filed on your behalf, nominee option included
Register of members / beneficial ownersFiled with the Registrar via the BOSS system; not publicly accessible [7][8]✓ Yes — filed and kept current by our team

In plain terms: you don't have to find your own director, shareholder or registered agent, or become a BVI compliance expert overnight — Otonomos supplies and files all of it as part of the setup.

Section D

Costs & timeline

Otonomos's own live pricing for a standard BVI Business Company, pulled straight from the order page rather than a separate estimate. These are our figures at time of writing — the order page is always the source of truth [21][29].

YEAR ONE
One-time required payment$2,616
Annually required$1,720
Year one, all-in$4,336
EVERY YEAR AFTER
Renewal (annually required fees)$1,720 / yr

Once your KYC and KYB clear, incorporation itself typically takes 5–7 business days — that's Otonomos's own delivery estimate, not a government-guaranteed turnaround [24].

ELife after Day 1

A BVI company is quick to open and quiet to run — but not maintenance-free. Here's how Otonomos handles it: we track every deadline below, flag it to you well before it's due, and once you've confirmed the details, submit the filing to the registrar ourselves.

01
Beneficial ownership filing — within 30 days

Filed with your registered agent via the VIRRGIN platform; the same 30-day window applies to any later change of beneficial owner [18].

02
Annual Return — within 9 months of financial year-end

A simple unaudited balance sheet and income statement, filed with your registered agent — not with the public registry, not audited [9][18][27].

03
Economic Substance Declaration — six months after the financial period ends

Required every year, even a "nil" declaration, if the company carries on one of the nine relevant activities under the Act [6][26].

04
Government renewal fee — on your incorporation anniversary

$550 up to 50,000 authorised shares, $1,350 above that threshold [14].

05
Escalating penalties — if any of the above is late

$300 for the first month overdue, $200 for every month after, capped at $5,000 — beyond which the Registrar can strike the company off [9]. This is exactly what our reminders are there to prevent.

Panama and Wyoming are on the Otonomos shelf too, but our internal comparison data for those two isn't complete enough yet to publish a fair number-for-number table — flagged here rather than filled in with guesses. Ask the team for a live comparison if that's the fork in your decision [21].

GHow Otonomos runs it

The paperwork above is real. What we've automated is the part where you'd normally chase it yourself.

Onboarding
Digital KYC/KYB

Identity, source-of-wealth and corporate documents collected through the Otonomos dashboard, not a PDF attachment chain.

Privacy
Nominee directors

Available from the start if keeping the public Register of Directors clean of your name matters to you.

Maintenance
Deadline tracking

Annual Return, Economic Substance and renewal deadlines tracked against your entity, not left for you to calendar yourself.

Frequently Asked Questions

No. The entire process runs online, end to end. The only time BVI presence matters is if you employ someone physically there, which can trigger local payroll tax [5] — irrelevant to the standard holding or trading setup.

As a director, yes — unless you use a nominee. As a shareholder or beneficial owner, no: that information is filed with the Registrar via BOSS but isn't publicly accessible [7][8].

Penalties start at $300 for the first month late, then $200 for every month after, up to a $5,000 cap — beyond which the Registrar can strike the company off [9].

A single token issuance generally doesn't require a VASP licence. Ongoing exchange, custody or market-making activity does [13].

It applies the same due-diligence standard we apply everywhere, and it isn't on the EU's non-cooperative list [11]. It is, however, currently on FATF's increased-monitoring (grey) list [10] — worth knowing, not hiding.

The order page assumes you've already decided. This page is for the step before that — understanding what you're actually buying, sourced back to the law and the regulator rather than to a sales headline.
